Terms and conditions.

They apply to every order placed with Smartera. They are written to be read.

1. Who and what

These terms bind Smartera, the sole proprietorship of Eddy Bruart, BE 0821.116.381, and its client. Smartera's services are intended for professionals: self-employed people, companies and non-profit associations.

The written proposal given to the client describes what is provided, the timeframe for each stage and the price. In the event of any difference, the proposal prevails over these terms.

2. Order and payment

The order is placed online, from the proposal. It is paid in full when the order is placed, before work begins. Prices are stated excluding VAT.

Any request outside the proposal is covered by a new proposal, also paid when the order is placed.

3. The website

The website includes what the proposal describes, built with Odoo's Website app. Any need that requires another app (online store, calendar, events, customer management…) is a separate project, priced separately, which may be added to the order.

As soon as the client uses two or more Odoo apps, the Odoo subscription is the client's responsibility, directly with Odoo.

The website layout is set by Smartera and cannot be modified by the client.

4. Process and timeframes

The website is delivered in three versions: a first version, then two rounds of adjustments, presented on a private link. Once the final version is approved, the website is translated into a second language, then put online.

The timeframes are set out in the proposal, stage by stage. They are suspended for as long as Smartera is waiting for information, content or approval from the client.

5. What the client provides

The client provides information about their business and, if available, their logo, photos and access credentials. The client warrants that they hold the rights to the content they provide.

If the client's existing domain name is protected by DNSSEC, the client has this protection disabled by their provider, following Smartera's written instructions.

6. Changes after going live

Changes are requested in writing and invoiced per item, at the price communicated before the order: replacement of content on a single page (text, images, opening hours), structural changes, adding a page, or work on quotation. They are paid when ordered, retranslation included.

A paid request can no longer be modified; any later change is the subject of a new request.

7. Domain name

The domain name is offered free for the first year, in the extension proposed by Smartera; any other extension is at the client's expense. Subsequent renewals are invoiced to the client.

If a renewal paid in advance by Smartera is not reimbursed, the domain is retained, never used, and transferred to the client as soon as the advanced renewals and the fees announced in the reminders are repaid.

8. Ownership and transfer

At the end of the project, the client receives the Odoo instance their website runs on (their "database") and their access credentials. The following belong to the client and are transferred on simple request, free of charge: their domain name, texts, images, data and Odoo database. The only exception: an unpaid domain renewal (article 7).

9. Liability

Smartera undertakes to carry out with care what is set out in the proposal. It is not liable for interruptions of third-party services (Odoo, Cloudflare, domain name registries), nor for content provided by the client.

10. Personal data

Data processing is described in the privacy policy.

11. Governing law

These terms are governed by Belgian law. Any dispute falls within the jurisdiction of the courts of the judicial district of Hainaut, Charleroi division, after an attempt at amicable settlement in writing. This English version is a translation; in the event of any discrepancy, the French version prevails.
